Conversion of Class A to Class B common stock
You can convert CBS Corporation Class A common stock shares into Class B common stock shares on a one-for-one basis in accordance with CBS Corporation’s charter, but you cannot convert CBS Corporation Class B common stock into Class A common stock. You must exchange your certificated shares for book-entry shares of CBS Corporation and Viacom Inc. Shareholders of record of former Viacom Inc. on December 31, 2005, should have received a letter of transmittal regarding the exchange of certificated shares. Completed letters of transmittal, together with any required documents including physical certificates, must be returned to the processing agent, who will then issue the shareholder a book-entry credit for the whole shares of CBS and New Viacom Inc.
